COMPANY SHARE STRUCTURE

Authorized capital divided into:

(a)  Unlimited Class "A" Voting Common shares without par value;
(b)  Unlimited Class "B" Non-voting Common shares without par value;
(c)  Unlimited Class "C" Non-voting Common shares without par value;
(d)  Unlimited Class "D" Non-voting Common shares without par value; and
(e)  Unlimited Class "E" Redeemable Preferred shares with a par value of $1.00 each.

The Class "A" shares are the only voting class of shares, have dividend rights, and share rateably with the Class "B", Class "C" and Class "D" shares on dissolution or winding up of the company. The Class "B", Class "C" and Class "D" shares do not have voting rights, but have dividend rights. The directors may declare dividends on one or more of the common share classes to the exclusion of the others.

The Class "E" shares do not have voting rights, carry a discretionary dividend, and have priority over the common shares on dissolution of the company. They are contemplated to be issued for non-cash consideration pursuant to section 85(1) of the Income Tax Act (Canada), carry a price adjustment clause in the event of reassessment by Revenue Canada, and are both redeemable by the company and retractable by the holder for the redemption amount of those shares.

COMPLETE INCORPORATION SERVICE INCLUDES

  • Preparing Incorporation Agreement and Notice of Articles, creating share structure and company articles, and online filing with Registrar of Companies in order to incorporate the company

  • Issuing shares, appointing directors and officers, delivering documents for signature and filing notices regarding appointment of directors and designation of registered and records offices

  • Preparing shareholders and directors registers

  • Delivery by courier of full report and tabbed minute book, fully completed and in order.


EXISTING RELATIONSHIPS RESPECTED

Capital Law Corporation only does company incorporations and related corporate legal work. We encourage all purchasers to maintain their existing solicitor-client relationships and are pleased to designate any office as the Registered or Records Offices and to deliver the completed minute book there. If requested, we will provide referrals for other legal services.

The Retainer of Capital Law Corporation is limited to incorporating companies with the share structures and with the special rights and restrictions described in this brochure, appointing directors and officers and issuing shares, in accordance with our instructions. We do not offer, nor are we responsible for providing, legal advice on any aspect of incorporating a company including the consequences of occupying the position of director or officer, owning shares, and the legal rights and responsibilities of persons who occupy those offices or own shares.
